Términos de uso del conector MCP de Clau

Estos términos regulan el uso del conector MCP de Clau (https://mcp.clau.io/mcp), que permite conectar asistentes de inteligencia artificial, como Claude o ChatGPT, a un negocio en Clau. Se suman a los Términos Generales de la Solución Clau.io y al acuerdo comercial o de distribución vigente entre el negocio y Clau (en conjunto, el "Acuerdo"). En lo que no prevean estos términos, aplica el Acuerdo.
1. Partes
El conector lo presta BE LOYAL, S.A. y/o sus afiliados, que operan bajo la marca CLAU.IO ("Clau"). Lo usa el negocio cliente de Clau (el "Negocio") por medio de sus usuarios autorizados del dashboard ("usted").
2. Quién puede usarlo
- Usuarios del dashboard de Clau con el permiso API Keys y facultades para actuar en nombre del Negocio.
- Al conectar, usted declara que tiene esa autoridad y que el Negocio acepta estos términos.
3. Autorización para compartir datos con el asistente
Cada conexión se autoriza en una pantalla de Clau, donde usted elige el Negocio y los permisos. Al aprobarla, el Negocio autoriza expresamente a Clau a entregar al asistente elegido los datos que este solicite dentro de esos permisos. Esa aprobación constituye la autorización expresa del Negocio que el Acuerdo exige para comunicar datos a terceros, limitada a esa conexión. Queda registrada y se puede revocar en cualquier momento.
El proveedor del asistente, por ejemplo Anthropic u OpenAI, es un tercero elegido por el Negocio. Su servicio se rige por sus propios términos y políticas, y Clau no responde por él.
4. Responsabilidades del Negocio
- Otorgar solo los permisos necesarios y revisar las acciones que el asistente propone antes de confirmarlas, en especial las que modifican datos o envían notificaciones a sus clientes.
- Cumplir la normativa de protección de datos y de comunicaciones frente a sus clientes, lo que incluye contar con base legal e informarles cuando corresponda.
- Mantener en secreto las API keys y las credenciales del dashboard, y revocar de inmediato cualquier acceso que ya no se use o que se sospeche comprometido.
- Responder por las acciones realizadas con sus conexiones.
5. Uso aceptable
No está permitido usar el conector para:
- eludir los permisos, los límites de uso o las medidas de seguridad;
- acceder a datos de otros negocios;
- extraer datos de forma masiva sin una necesidad legítima del Negocio;
- enviar comunicaciones no solicitadas o engañosas;
- cualquier fin ilícito.
Clau puede suspender o revocar conexiones que infrinjan estos términos o pongan en riesgo el servicio.
6. Resultados de la IA
Las respuestas y acciones del asistente las genera un sistema de inteligencia artificial de un tercero y pueden contener errores. Clau entrega los datos tal como están en la plataforma, pero no garantiza la interpretación que haga el asistente. El Negocio debe verificar la información antes de tomar decisiones y es responsable de las acciones que confirme.
7. Alcance del servicio
- El conector no realiza pagos, cobros ni transferencias de dinero.
- Las herramientas, los límites y la disponibilidad pueden cambiar para mejorar el servicio o por seguridad.
- Las conexiones vencen si no se usan durante 90 días.
- Las condiciones comerciales son las del Acuerdo.
8. Revocación y terminación
El Negocio puede revocar cualquier conexión en Configuración → API Keys o desde el asistente. Al terminar el Acuerdo o suspenderse la cuenta del Negocio, las conexiones dejan de funcionar.
9. Garantías y responsabilidad
El conector se ofrece "tal cual" y "según disponibilidad". En la máxima medida permitida por la ley, Clau no será responsable por daños indirectos, lucro cesante ni pérdida de datos derivados del uso del conector o de servicios de terceros. La responsabilidad total de Clau se rige por los límites del Acuerdo.
10. Cambios
Clau puede actualizar estos términos y publicará la versión vigente en esta página con su fecha. Seguir usando el conector después de un cambio implica aceptarlo.
11. Ley aplicable
Estos términos se rigen por las leyes de la República de Panamá. Las partes se someten a la jurisdicción exclusiva de los tribunales de la Ciudad de Panamá, salvo lo que disponga el Acuerdo.

Clau MCP Connector Terms of Use

These terms govern the use of the Clau MCP connector (https://mcp.clau.io/mcp), which lets businesses connect artificial intelligence assistants, such as Claude or ChatGPT, to their Clau account. They supplement the Clau.io Solution General Terms and the commercial or distribution agreement in force between the business and Clau (together, the "Agreement"). Anything not covered here is governed by the Agreement. If the Spanish and English versions differ, the Spanish version prevails.
1. Parties
The connector is provided by BE LOYAL, S.A. and/or its affiliates, doing business as CLAU.IO ("Clau"). It is used by the Clau customer business (the "Business") through its authorized dashboard users ("you").
2. Who may use it
- Clau dashboard users with the API Keys permission who are authorized to act on behalf of the Business.
- By connecting, you confirm that you have that authority and that the Business accepts these terms.
3. Authorization to share data with the assistant
Each connection is authorized on a Clau screen where you choose the Business and the permissions. By approving it, the Business expressly authorizes Clau to provide the chosen assistant with the data it requests within those permissions. That approval is the Business's express authorization, required by the Agreement, to disclose data to third parties, limited to that connection. It is recorded and can be revoked at any time.
The assistant provider, for example Anthropic or OpenAI, is a third party chosen by the Business. Its service is governed by its own terms and policies, and Clau is not responsible for it.
4. The Business's responsibilities
- Grant only the permissions needed, and review the actions the assistant proposes before confirming them, especially those that change data or send notifications to customers.
- Comply with data protection and communications laws towards its customers, including having a legal basis and informing them where required.
- Keep API keys and dashboard credentials secret, and immediately revoke any access that is no longer used or may be compromised.
- Be responsible for the actions carried out through its connections.
5. Acceptable use
You may not use the connector to:
- bypass permissions, usage limits or security measures;
- access other businesses' data;
- extract data in bulk without a legitimate need of the Business;
- send unsolicited or misleading communications;
- pursue any unlawful purpose.
Clau may suspend or revoke connections that breach these terms or put the service at risk.
6. AI output
The assistant's answers and actions are generated by a third-party artificial intelligence system and may contain errors. Clau provides the data as it is on the platform, but does not guarantee how the assistant interprets it. The Business must verify information before making decisions and is responsible for the actions it confirms.
7. Scope of the service
- The connector does not make payments, charges or money transfers.
- Tools, limits and availability may change to improve the service or for security reasons.
- Connections expire after 90 days without use.
- Commercial terms are those of the Agreement.
8. Revocation and termination
The Business can revoke any connection under Settings → API Keys or from the assistant. When the Agreement ends or the Business's account is suspended, connections stop working.
9. Warranties and liability
The connector is provided "as is" and "as available". To the fullest extent permitted by law, Clau is not liable for indirect damages, lost profits or data loss arising from the use of the connector or third-party services. Clau's total liability is subject to the limits of the Agreement.
10. Changes
Clau may update these terms and will publish the current version on this page with its date. Continued use of the connector after a change means you accept it.
11. Governing law
These terms are governed by the laws of the Republic of Panama. The parties submit to the exclusive jurisdiction of the courts of Panama City, unless the Agreement provides otherwise.
